Terms of Service

These Terms of Service constitute a legally binding agreement between you and Kwata Team Inc. governing your access to and use of all Kwata Team applications and services.

BY ACCESSING OR USING ANY KWATA TEAM APPLICATION OR SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING THE BINDING ARBITRATION AGREEMENT IN SECTION 16 AND THE LIMITATION OF LIABILITY IN SECTION 14. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST NOT USE OUR SERVICES.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kwata Team Inc. ("Kwata Team," "we," "us," or "our"), a corporation incorporated under the laws of the Province of Alberta, Canada, governing your access to and use of all Kwata Team platforms, applications, and services (collectively, the "Services").

These Terms apply to all users, including visitors, registered users, parents/guardians, and business clients. We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent website notice. Continued use of the Services after any changes constitutes your acceptance of the new Terms.

If you are under 18 years of age, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. If you are a parent or guardian allowing a minor to use our Services, you accept these Terms on their behalf and are fully responsible for their use.

Sales, Marketing, Administrative, and Social Media AI teams for businesses (kwatateam.com)

Buddy Tutor

Educational platform for children featuring AI-powered learning games and lessons (tutor.kwatateam.com)

Aya Career

AI-powered career management, job search, and application tracking (career.kwatateam.com)

Kwata Books

Canadian bookkeeping, financial reporting, and tax management platform (docs.kwatateam.com)

KwataReady

Cleaning and home service management with scheduling and client management (kwataready.kwatateam.com)

Root AI Receptionist

AI-powered call handling, appointment booking, and customer communication (phone.kwatateam.com)

MySpot (Kai)

AI-powered queue management and appointment booking with SMS concierge (myspot.kwatateam.com)

Kwata Chat

AI concierge and customer service automation (chat.kwatateam.com)

We reserve the right to add, modify, or discontinue any Service with reasonable notice. New services added to our platform are automatically governed by these Terms unless otherwise stated.

Eligibility & Account Registration

Eligibility Requirements

  • You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account
  • Minors may use certain Services (e.g., Buddy Tutor) only under direct parental supervision and with a parent/guardian account
  • You must have the legal capacity to enter into a binding agreement
  • You must not be prohibited from receiving our Services under applicable law

Account Obligations

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure at all times
  • Notify us immediately at security@kwatateam.com of any unauthorized account access
  • You are solely responsible for all activity that occurs under your account
  • One account per person — creating multiple accounts to circumvent restrictions is prohibited

Google Sign-In & Third-Party Authentication

Several Kwata Team applications offer sign-in via Google OAuth 2.0. By choosing to sign in with Google, you authorize Kwata Team to receive your Google account name, email address, and profile picture solely for the purpose of account creation and authentication.

We request only basic profile scopes (openid, email, profile). We do not access Gmail, Google Drive, Google Contacts, or any other Google services.

Your use of Google sign-in is also subject to Google's Terms of Service and Privacy Policy. You can revoke Kwata Team's access at any time via your Google Account settings. Kwata Team is not responsible for any actions or omissions by Google in connection with your Google account.

Acceptable Use Policy

You agree to use our Services only to:

  • Conduct lawful activities in compliance with all applicable laws and regulations
  • Access features for which you have valid authorization or subscription
  • Supervise any minor children using Services under your account
  • Provide accurate information in all interactions with our Services

Prohibited Conduct — You Must NOT:

  • Use our Services for any illegal, harmful, fraudulent, or deceptive purpose
  • Attempt to gain unauthorized access to our systems, databases, or other users' accounts
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from our applications
  • Upload, transmit, or distribute malware, viruses, or any harmful code
  • Scrape, crawl, or use automated tools to extract data from our Services without written permission
  • Interfere with, disrupt, or overload our servers, networks, or infrastructure
  • Impersonate any person, entity, or Kwata Team employee
  • Use our AI services to generate spam, phishing content, or deceptive material
  • Circumvent any security measures, rate limits, or access controls
  • Resell or sublicense our Services without prior written authorization
  • Use the Services to harass, threaten, or harm other users or third parties
  • Attempt to access beta features or administrative areas without authorization

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice, at our sole discretion, and may expose you to civil or criminal liability.

Children's Services — Buddy Tutor

COPPA Compliance — Children Under 13

Buddy Tutor is designed for children under parental supervision. These additional terms apply to all use of Buddy Tutor.

By creating an account or allowing a child to use Buddy Tutor, you represent and warrant that:

  • You are the parent or legal guardian of any child using this Service
  • You are at least 18 years of age or the age of majority in your jurisdiction
  • You have the legal capacity to enter into this binding agreement on behalf of your child
  • You consent to the collection of minimal data necessary to provide the Service as described in our Privacy Policy
  • You will supervise your child's use of Buddy Tutor at all times
  • You are solely responsible for all activity under your account and any associated child profiles
  • You understand that Buddy Tutor is an educational supplement and does not replace formal education or professional assessments

AI Services Disclaimer

Kwata Team utilizes artificial intelligence ("AI") and automated systems across its platforms. You acknowledge and agree that:

  • AI-generated content and recommendations may not be reviewed by humans before delivery and may contain errors, inaccuracies, or inappropriate content despite our safety measures
  • AI services do not constitute professional legal, financial, medical, educational, or other expert advice
  • Our Services should supplement, not replace, qualified professional advice in any domain
  • We make no guarantees about specific outcomes, performance improvements, or results from using our AI services
  • AI systems have inherent limitations and may produce unexpected results
  • You are responsible for verifying the accuracy of any AI-generated output before relying on it

Payment, Billing & Refunds

Payment Terms

  • All fees are stated in Canadian Dollars (CAD) unless otherwise specified
  • Payment is due at the start of each billing period
  • Monthly and annual billing options available
  • Auto-renewal unless cancelled at least 48 hours before renewal date
  • All payments processed securely through Stripe

Cancellation

  • Cancel anytime with 48 hours notice before next renewal
  • Service access continues until the end of the paid billing period
  • No pro-rated refunds for partial periods, except as required by law
  • Data export available for 30 days following account closure
  • Cancellation requests must be submitted in writing to billing@kwatateam.com

Refund Policy

We offer a 7-day money-back guarantee for new customers on their first subscription to any Kwata Team paid service. Refund requests must be submitted within 7 calendar days of the initial charge to billing@kwatateam.com. After 7 days, all fees are non-refundable except where required by applicable Canadian consumer protection law. Kwata Team reserves the right to deny refund requests where abuse of this policy is suspected.

We reserve the right to change our pricing at any time with 30 days' advance notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.

Intellectual Property

All content, features, software, and functionality of the Kwata Team Services — including but not limited to text, graphics, logos, AI models, workflows, educational materials, games, source code, and documentation — are owned by Kwata Team Inc. or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose during your subscription period. This license does not include the right to:

  • Copy, modify, distribute, sell, sublicense, or create derivative works from our content
  • Use our trademarks, logos, or brand assets without prior written permission
  • Frame or mirror any part of our Services without authorization
  • Use any data mining, robots, or similar data gathering tools on our Services

Any feedback, suggestions, or ideas you submit to us may be used by Kwata Team without restriction or compensation to you.

Privacy & Data Protection

Your use of our Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), Alberta's Personal Information Protection Act (PIPA), and other applicable privacy laws.

By using our Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. For children's services (Buddy Tutor), additional COPPA protections apply as detailed in the Privacy Policy.

Beta Features & Experimental Services

We may offer features designated as "beta," "preview," "experimental," or "early access." You acknowledge that:

  • Beta features are provided 'AS IS' without any warranty of any kind
  • Beta features may be unstable, incomplete, contain bugs, or cause data loss
  • We may modify, suspend, or discontinue beta features at any time without notice or liability
  • Your use of beta features is entirely at your own risk
  • We have no liability for any issues, losses, or damages arising from beta feature use

Service Availability & Modifications

We strive to maintain 99.9% uptime but do not guarantee uninterrupted or error-free access to our Services. We may:

  • Perform scheduled maintenance with advance notice when reasonably possible
  • Modify, update, or discontinue any feature or Service with 30 days notice for material changes
  • Suspend Services immediately without notice in response to security threats, abuse, or legal obligations
  • Set usage limits, rate limits, or quotas on API access and Service features

Kwata Team is not liable for any losses, damages, or inconvenience resulting from service downtime, interruptions, or modifications.

Termination of Access

By You: You may close your account at any time by contacting us at support@kwatateam.com. Paid subscriptions will remain active until the end of the current billing period.

By Us: We reserve the right to suspend or terminate your account and access to any or all Services, immediately and without prior notice, for any reason including but not limited to:

  • Violation of any provision of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Security threats or risks to our Services or other users
  • Requests from law enforcement or regulatory authorities

Upon termination, your right to use the Services ceases immediately. Sections 9, 14, 15, 16, 17, and 18 survive termination. We may retain your data as required by law or for legitimate business purposes following termination.

Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KWATA TEAM INC., ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; COST OF SUBSTITUTE SERVICES; PERSONAL INJURY OR PROPERTY DAMAGE; EMOTIONAL DISTRESS; LOSS OF EDUCATIONAL OUTCOMES OR ACADEMIC PERFORMANCE; OR DAMAGES ARISING FROM RELIANCE ON AI-GENERATED CONTENT — EVEN IF KWATA TEAM WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

KWATA TEAM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO KWATA TEAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law. You acknowledge these limitations are a fundamental element of the bargain between us.

Indemnification

You agree to fully indemnify, defend, and hold harmless Kwata Team Inc., its officers, directors, shareholders, employees, contractors, agents, licensors, and all affiliated parties from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable legal fees and costs of investigation) arising out of or relating to: (a) your use or misuse of any Kwata Team Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) any content you submit or transmit through our Services; (e) your negligent, reckless, or intentional wrongful conduct; or (f) any claim by a third party related to your use of the Services. This indemnification obligation survives termination of these Terms.

Dispute Resolution & Arbitration

Informal Resolution First

Before initiating any formal dispute, you agree to contact us at legal@kwatateam.com and provide a written description of the dispute, your desired resolution, and your contact information. We will attempt to resolve the dispute informally within 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Services shall be resolved exclusively through final and binding individual arbitration in Calgary, Alberta, Canada, under the rules of the ADR Institute of Canada. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATION, COLLECTIVE ACTIONS, OR ANY OTHER REPRESENTATIVE PROCEEDING AGAINST KWATA TEAM. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

If any part of this arbitration agreement is found unenforceable, only that part shall be severed and the remaining arbitration provisions shall continue in full force. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of law where necessary to prevent irreparable harm.

Time Limitation for Claims

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE FILED WITHIN THREE (3) MONTHS AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR IT SHALL BE FOREVER BARRED, REGARDLESS OF ANY STATUTE OF LIMITATIONS OR LAW TO THE CONTRARY. YOU EXPRESSLY WAIVE ANY LONGER LIMITATION PERIOD THAT MAY OTHERWISE APPLY UNDER APPLICABLE LAW.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles. Subject to the arbitration agreement in Section 16, any legal action or proceeding relating to these Terms shall be brought exclusively in the courts located in Calgary, Alberta, Canada, and you irrevocably consent to the personal jurisdiction of such courts.

Force Majeure

Kwata Team shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions, internet or telecommunications failures, cyberattacks, power failures, or failures of third-party service providers. In such events, our obligations will be suspended for the duration of the force majeure event.

General Provisions

Severability: If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms for specific Services, constitute the entire agreement between you and Kwata Team regarding the Services and supersede all prior agreements.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices: All legal notices to Kwata Team must be sent in writing to legal@kwatateam.com or by mail to Kwata Team Inc., Calgary, Alberta, Canada.

BY USING ANY KWATA TEAM SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY, INCLUDING THE BINDING ARBITRATION AGREEMENT, CLASS ACTION WAIVER, DISCLAIMER OF WARRANTIES, AND LIMITATION OF LIABILITY.
